Acceptance of Terms

These Terms of Service govern your use of the website operated by AARON VAZQUEZ HOLDINGS, LLC and your engagement of the professional services we describe on the site. By loading the website, submitting an inquiry or entering into a project agreement with us, you accept these terms. If you do not accept them, please do not use the website or engage our services.

Where a signed project agreement, statement of work or purchase order contains terms that differ from these terms, the signed project document controls for that engagement, and these terms apply only to the extent they are not inconsistent. Nothing in these terms removes a right that applicable law says cannot be removed.

If you are accepting these terms on behalf of an organisation, you confirm that you have authority to bind that organisation to them. If you do not have that authority, you must not accept the terms on the organisation behalf and you should ask the appropriate person to review them.

Scope of Services

Our services include alarm system integration, control room dashboards, sensor network engineering, interlock logic design, data telemetry pipelines and preventive monitoring support. The exact scope of any engagement is defined in a written proposal or statement of work that lists the deliverables, the assumptions, the exclusions and the acceptance criteria.

Descriptions of services on the website are provided for general information and do not constitute an offer or a guarantee of a particular result. A service may be adapted to the conditions of a site, and any adaptation is recorded in the project documents. Unless the project documents state otherwise, we do not supply process equipment, electrical installation labour or civil works.

Where a project requires regulated engineering certification, a licensed professional engineer or a specialist subcontractor, the project documents will identify who is responsible. We do not represent that our services replace the review of a licensed professional where such review is required by law.

Use of the Website

You may view, download and print pages from the website for your own internal business use, provided that you do not remove any notice of ownership. You may link to our homepage or to a service page, but you may not frame our pages, mirror our content or present our material as your own without written permission.

The contact form is provided as a convenience. It prepares an email in your own mail application and does not transmit anything to us until you send the message. You are responsible for the accuracy of the information you send and for ensuring that your message does not contain material you are not entitled to share.

We may change, suspend or withdraw any part of the website at any time. We do not guarantee that the site will be available without interruption, and we may perform maintenance without prior notice. We will make reasonable efforts to correct faults reported to us, but we do not promise a specific response time for website issues unless a separate support agreement says otherwise.

Prohibited Conduct

You must not use the website or our services for an unlawful purpose, or in a way that could damage, disable or impair the site or interfere with another person use of it. You must not attempt to gain unauthorised access to any part of our systems, probe for vulnerabilities without written permission, or introduce malicious code.

You must not impersonate another person or organisation when contacting us, and you must not send unsolicited bulk messages through our contact details. You must not scrape the site at a volume that affects availability, and you must not use automated tools to submit repeated inquiries.

Where you share site documents with us, you must not provide material that you are not authorised to disclose. If we discover that material was provided in breach of a confidentiality obligation, we will stop work on it and return or destroy it as the rightful owner directs.

Client Responsibilities

A successful integration depends on cooperation from the site. The client is responsible for providing accurate information about the process, the installed equipment and the existing control systems, and for giving our engineers access to the areas listed in the agreed scope. The client is also responsible for nominating a single point of contact who can approve designs and resolve questions.

The client must ensure that site conditions allow safe work. That includes isolating hazardous energy where required, providing safety induction, supplying personal protective equipment where site rules demand it and informing us of any known hazard that could affect our team. If conditions on site differ materially from the information provided, we may need to revise the scope or the schedule.

The client is responsible for backing up its own systems before we make changes to controllers, networks or servers. Unless the project documents state otherwise, we take a configuration backup as part of the work, but the client remains responsible for the overall backup and recovery strategy for its plant.

Quotes and Proposals

A written proposal describes the work we understand at the time of writing. Proposals are based on the information available to us and on the assumptions stated in the document. Unless the proposal states a different period, a quotation is valid for thirty days from the date it is issued.

A proposal becomes a binding agreement when the client accepts it in writing, for example by returning a signed copy or by issuing a purchase order that references the proposal. An informal request to proceed may be accepted at our discretion, but the scope and fees remain those in the written proposal until the documents are updated.

Changes to the scope are handled through a written change note that describes the additional work, the effect on the schedule and the effect on fees. We will not perform out of scope work without an approved change note, except where immediate action is needed to protect people or equipment, in which case we will inform the client as soon as it is safe to do so.

Fees and Payment

Fees are set out in the proposal or statement of work. Unless the document states otherwise, fees are exclusive of taxes, travel and third party costs. Invoices are issued according to the payment schedule in the project documents, and payment is due within the period stated on the invoice.

Where work is billed on a time and materials basis, we record the hours spent and provide a summary with each invoice. Travel time and expenses are charged at the rates stated in the proposal. Third party purchases, such as hardware or calibration services, are passed through with documentation or are purchased by the client directly as agreed.

Late payment may delay scheduling of further work. We may charge interest on overdue amounts where the law allows it, and we may suspend work if an invoice remains unpaid after a written reminder. We will not withhold completed work that the client has already paid for as a means of resolving a separate billing dispute.

Scheduling and Site Access

Project schedules are agreed in writing and depend on client approvals, site access and the availability of equipment. Dates are targets unless the proposal states that a date is fixed. If a client delays an approval or cancels a site visit at short notice, we may need to reschedule and to charge for time that cannot be reassigned.

Site access must be arranged by the client in advance. The client should confirm parking, security clearance, induction times and the availability of escorts. Our engineers will follow all reasonable site rules, including those relating to photography, personal protective equipment and permit to work systems.

If a site visit cannot proceed because access is refused or conditions are unsafe, we will document the reason and agree a new date. Repeated access failures may lead to a revision of the schedule and of any fixed price element that assumed efficient mobilisation.

Intellectual Property

The website, its text, its layout and its visual design are owned by AARON VAZQUEZ HOLDINGS, LLC or used under licence. Nothing in these terms transfers ownership of our brand, our drawings, our design templates or our internal tools to a client or to a website visitor.

On full payment for a project, the client receives a licence to use the project specific deliverables, including drawings, configuration records and operator guides, for the operation, maintenance and modification of its own facility. We retain ownership of our underlying design methods, templates and general know-how, and we may reuse them in other projects provided that no client confidential information is disclosed.

Software supplied by third parties remains subject to the licence terms of the relevant vendor. We will identify such software in the project documents. The client is responsible for maintaining any third party licences that are registered in its name.

Deliverables and Handover

Deliverables are described in the project documents and are considered complete when the acceptance criteria in those documents are met. Acceptance may be confirmed by a signed test record, by written approval or by the client putting the system into operational use.

At handover we provide the as-built documentation, the test records and a short operator guide. We also offer a walkthrough session for the shift team. The client is responsible for storing the handover pack and for keeping it current as the plant changes.

If the client does not respond to a request for acceptance within a reasonable period, and the system is operating as described in the test record, we may treat the deliverables as accepted so that invoicing and close-out can proceed. We will always give written notice before taking that step.

Confidentiality

Each party may receive confidential information from the other. Confidential information includes drawings, point lists, process data, commercial terms, security arrangements and any material marked as confidential or that a reasonable person would understand to be confidential. Each party agrees to use the other party confidential information only for the purpose of the engagement.

Confidential information must be protected with reasonable care and disclosed only to personnel who need it for the engagement. It may be disclosed where required by law, provided that the disclosing party gives prompt notice where it is legally permitted to do so. Confidentiality obligations continue after the engagement ends.

The restrictions do not apply to information that is already public without breach of these terms, that was lawfully known before disclosure, that is independently developed without use of the confidential information, or that is received from a third party without a duty of confidence.

Warranty and Defects

We warrant that our professional services will be performed with reasonable skill and care by qualified personnel, and that our work will conform to the written scope. If a defect in our work appears within the warranty period stated in the project documents, we will correct it at no additional charge, provided that the client reports it promptly and gives us a reasonable opportunity to investigate.

The warranty does not cover defects caused by changes made by others, by operation outside the agreed conditions, by equipment that failed through normal wear, by inadequate maintenance or by events outside our control. Hardware and software supplied by third parties carry the warranties of their manufacturers, and we will assist the client in pursuing a claim where the defect relates to supplied equipment.

This warranty is the client exclusive remedy for defects in our services, except where applicable law provides a right that cannot be limited. The warranty period and the acceptance procedure are stated in the project documents.

Limitation of Liability

To the maximum extent permitted by law, neither party is liable for indirect, incidental, special or consequential losses, including lost profit, lost production, loss of data or business interruption, arising from the engagement or from use of the website. This limitation applies even if the party was advised that such losses were possible.

Our total liability arising from an engagement is limited to the fees paid by the client for the specific services giving rise to the claim, or to the amount stated in the project documents, whichever is greater. Nothing in these terms limits liability for fraud, wilful misconduct, death or personal injury caused by negligence, or any other liability that cannot be limited by law.

The website is provided on an as available basis. We do not warrant that the site will be error free or that it will meet every visitor requirement. Visitors should not rely on the website as the sole source of engineering advice for a safety critical decision.

Indemnity

Each party agrees to indemnify the other against third party claims to the extent that the claim arises from that party breach of these terms, from its negligence or from its infringement of a third party intellectual property right. The party seeking indemnity must give prompt notice of the claim and reasonable cooperation in the defence.

The client agrees to indemnify us against claims arising from site conditions that the client knew about and failed to disclose, from hazardous materials present at the site and from data supplied by the client that infringes a third party right. We agree to indemnify the client against claims that our original work product infringes a third party right, provided the client has used the work as intended.

Safety and Regulatory Compliance

Our designs support safe operation, but they do not replace the client safety management system. The client remains responsible for hazard identification, risk assessment, operating procedures and the decision to place equipment into service. Interlock and alarm designs are reviewed with the client, and any final authority to operate rests with the client.

We will comply with the safety rules of each site we visit and with applicable occupational safety law. Where a project involves a regulated process, the client is responsible for confirming that the final installation meets the requirements of the relevant regulator. We will provide documentation to support that confirmation.

If we observe a condition that we believe presents an immediate danger, we will stop work in that area and inform the client contact. We will resume when the condition has been addressed and the site confirms that work may continue.

Termination

Either party may end an engagement for convenience by giving written notice, provided that the client pays for work performed and for commitments made up to the effective date of termination. Either party may end an engagement immediately if the other party commits a material breach and does not remedy it within a reasonable period after written notice.

On termination, we will deliver work product that the client has paid for, return or destroy client confidential information as instructed, and provide a final account. Clauses that by their nature should survive termination, including confidentiality, intellectual property and limitation of liability, will continue to apply.

We may restrict access to the website at any time without notice if we believe that a visitor is using it in breach of these terms. Termination of website access does not affect any separate project agreement.

Governing Law

These terms are governed by the laws of the State of Utah, United States, without regard to its conflict of law rules. Projects may be performed in other states or countries, and specific project documents may specify a different governing law for the site where the work is performed.

The parties will attempt to resolve any dispute through good faith discussion before beginning formal proceedings. If a dispute cannot be resolved, the courts located in Utah will have jurisdiction, unless the project documents require arbitration or another forum. Nothing in this section prevents a party from seeking urgent relief to protect its confidential information or its property.

Changes to These Terms

We may update these terms from time to time. The effective date at the top of the page shows when the current version took effect. Changes apply to website use from that date and to new engagements from the date the updated proposal is issued. Signed project documents are not changed retroactively unless both parties agree in writing.

We encourage clients to keep a copy of the terms that applied when their agreement was signed. If a change affects an active engagement in a material way, we will raise it directly with the client contact rather than relying on a website update.

Contact Information

Questions about these terms, proposals or an active project should be sent to the contact details below. Please include the project reference where one has been issued so that we can route the message to the right person.
